
KATHMANDU: National Biotech has called its second after limited annual general meeting (AGM) for November 21 at 2:00 pm in Naya Bazar, Kathmandu, the company said in a notice published on Thursday.
The board of directors, in a decision dated October 7, invited all shareholders to attend the meeting to consider a slate of ordinary and special resolutions.
Ordinary business will include approval of the annual report for the fiscal year 2024/25 and the financial statements up to mid‑July 2025, including the auditor’s report and related schedules. Shareholders will also consider the appointment of an auditor and the determination of their remuneration for the current fiscal year under section 111 of The Companies Act, 2063 (2006).
Special resolutions include a proposed public issuance of the company’s general shares, the proposed utilisation of capital raised from that issuance, and amendments to the memorandum of association and the articles of association to facilitate the share issue.
The board is seeking authorisation to execute necessary actions related to the share issuance and to carry out required banking transactions on behalf of the company, both subject to shareholder approval. The notice also allows for other miscellaneous matters to be taken up at the meeting.
